Revised December 4, 2007 Exhibit B STANDARD TERMS AND CONDITIONS1.  DEFINITIONS.  SíTV, Inc. is referenced herein as &quot;Company&quot;; &quot;Site&quot; shall mean any and all web sites or portals that SíTV or its affiliates, distribution and promotional partners operate in the normal course of business, including but not limited to http://www.sitv.com; the &quot;Services&quot; are those defined in the Deal Memo to which these Standard Terms and Conditions are attached; and the &quot;Deliverables&quot; are all Artist created digital media transmitted in any format and by any means, which shall  be provided by Artist as part of the Services. As used herein, &quot;Digital Media&quot; shall mean transmission to an individual or multiple receivers via the Internet, wireless or mobile devices, and all other means of non-linear transmission including, without limitation, downloads, streams, broadband, and all other so-called &quot;new media&quot; now known or hereafter invented.2.   RIGHTS:  2.1        License:  Artist hereby grants Company a world-wide, irrevocable, exclusive and fully-paid three-year license (the &quot;License&quot;) to the results and proceeds of Artist's Services hereunder (including, but not limited to, all recordings made of or by, and all content, material, and/or Deliverables delivered by Artist to Company) including, without limitation:  (i) all rights in the role or character portrayed by Artist (if any), including such character's name, likeness and distinctive characterizations; (ii) the right to exploit such role or character in any form and by any and all means, devices and technology, whether now or hereafter known or created, including, without limit, in merchandising and commercial tie-ins; (iii) the right to use and the right to permit others to use Artist's name(s), photograph, image, actual or simulated likeness, voice (or simulation thereof), personal characteristics, signature, attributes, expressions, performance, personal experiences and biographical information in and in connection with the production and  distribution, advertising, promotion, publicity, exhibition and other exploitation of the Site or any part thereof, Company, and the businesses, services, programs and/or products of Company, its licensees, sub-licensees and assigns (except that endorsements of third party products or services shall require Artist's prior consent) in any form and by any and all means, devices and technology, whether now or hereafter known or created.  For purposes of clarity, it is expressly agreed by the Parties that commercial tie-ins, printed or souvenir programs and other publications relating to Company and/or the Site shall not be deemed to constitute an endorsement; (iv) the copyright and all rights of copyright; (v) all neighboring rights, trademarks, trade name, and any and all other ownership and exploitation rights now or hereafter recognized in any territory, including all rental, lending, fixation, reproduction, broadcasting (including, without limit, satellite transmission), distribution and all other rights of communication by any and all means, devices and technology; (vi) the right to adapt, change, delete from and add to such results and proceeds; and (vii) all rights generally known as &quot;moral rights&quot;.    2.2    Limitation. Notwithstanding the foregoing, Company's License hereunder shall be limited solely to rights in Digital Media. 3.   TRAVEL EXPENSES:  If Company requires Artist's Services more than one hundred 100 miles from Artist's then principal place of residence, Company shall provide Artist:  (a) reasonable round trip transportation; (b) a hotel room (3-star or equivalent); and (c) a per diem in accordance with Company's standard travel policy (subject to change).4.    NO OBLIGATION TO USE:  Company shall have no obligation to develop, distribute, publish or otherwise exploit the Site or use Artist's Services or the Deliverables.5.   REPRESENTATIONS AND WARRANTIES:  Artist represents, warrants and agrees that:  (a) all material created, added, and/or submitted by Artist for the Site, in connection with the Services or as part of the Deliverables (other than material specifically furnished by Company for use by Artist), shall be free of encumbrances, is wholly original with Artist and, to the best of Artist's knowledge, is not the subject of any actual or threatened litigation or claim, and shall not infringe upon or violate the rights of privacy of, or constitute defamation of any party, or violate any common law, statutory rights or any other rights of any party; and (b) Artist is under no obligation or disability, which will in any manner prevent or restrict Artist from entering into and freely performing this Agreement as herein provided. In addition to the foregoing, in the event Artist utilizes any musical compositions and/or musical/audio recordings in connection with the Services (&quot;Music&quot;), Artist represents and warrants that Artist has or shall obtain in writing all rights and clearances for the Music, and has or shall ensure Artist has all rights required (i) to publish, distribute, exhibit, and promote the Music in any and all media now or hereafter known; and (ii) to assign and/or license such rights to Company herein. Artist shall be responsible for obtaining and paying for any and all master recording, synchronization and print licenses required for Company's use of the Music.6.  INDEMNIFICATION:  Artist agrees to indemnify Company, its associated, affiliated and related entities, parent, successors, assigns, licensees and each of their respective officers, directors, employees and agents and hold them harmless from and against any and all losses, liabilities, damages and expenses (including, without limit, reasonable attorneys' fees and expenses) arising out of, resulting from, based upon or incurred because of any  breach, or in the case of a third party claim, alleged breach, of any representation, warranty, covenant, or obligation of Artist hereunder.7.   SERVICES UNIQUE:  Artist acknowledges that Artist's Services and the rights herein granted are of a special, unique, unusual, extraordinary and intellectual character giving them a peculiar value, the loss of which cannot be reasonably or adequately compensated in damages in an action at law, and that a breach by Artist will cause Company irreparable injury and damage.  Company shall be entitled to injunctive and other equitable relief to prevent any breach by Artist.8.  TERMINATION. Company may terminate this Agreement at any time, with or without cause, upon three (3) days prior written notice to Artist.9.  PROMOTIONALACTIVITIES/PUBLICITY:  Subject to Artist's availability, Artist will participate in publicity and promotional activities for Company, the Site, the Deliverables and Artist's rendition of Services in connection therewith, as Company may require, and without additional compensation. Artist shall not authorize or participate in any news articles, publicity or any other activities of any kind relating directly or indirectly to Artist's engagement, Company, the Site, or the Services, without Company's prior written approval.10. ARTIST'S RELEASE.  Artist expressly releases Company, its agents, employees, licensees and assigns from and against any and all claims which Artist has or may have for invasion of privacy, defamation, violation of any right to publicity, or any other cause of action arising out of production, distribution, duplication, publication, broadcast or exhibition of Company's advertisements, promotions, content, programs and/or materials in which any portion of the Deliverables, Artist's name, likeness or biographical information appears, and/or arising out of Company's exercise of its rights granted herein.11. PROMOTIONAL MATERIALS:  If requested by Company, Artist shall provide publicity photographs, biographies and/or materials (e.g., press kit material and other ready-made publicity material about Artist) to Company to be used for such purpose or related purposes, and hereby irrevocably grants to Company the nonexclusive right and license, in perpetuity, to use, reproduce, distribute and publicly display (and the right for Company to authorize others to use, reproduce, distribute and publicly display) such materials to depict, advertise, market or promote Company or the Site. The rights provided in this Section 11 (&quot;Promotional Materials&quot;) are granted royalty-free, worldwide, and in any and all media now known or hereafter developed, including, but not limited to, websites (such as www.sitv.com), print, digital, satellite, online, all means of Internet content delivery, mobile content delivery, wireless, broadcast, cable, radio, audio, and audiovisual media, and in any electronic or other medium of storage.12. CONFIDENTIALITY.  In connection with the Services, Company may disclose to Artist confidential and proprietary ideas, information and material related to Company's business.  Artist shall keep such information and material confidential, and shall not manufacture, publicize, sell, deal in or otherwise use or misappropriate the disclosed information or materials concerning Company's business.13. INDEPENDENT CONTRACTOR. Artist acknowledges that its Services are to be rendered in the capacity of an independent contractor and not as Company's employee.  In no event shall this Agreement be construed to create any employment, agency, partnership or joint venture relationship between Company and Artist.14.   MISCELLANEOUS:14.1    Governing Law:  This Agreement shall be construed in accordance with the laws of the State of California. Except as set forth in this Section 14.1 (&quot;Governing Law&quot;), any action, proceedings, controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be resolved by binding arbitration held in Los Angeles, California, in accordance with the then-attending rules of JAMS/Endispute. Notwithstanding anything to the contrary contained herein, Company may seek from a court of competent jurisdiction injunctive or other equitable relief, including, but not limited to, enforcement of Section 7 above. (&quot;Services Unique&quot;).14.2    Guilds:  Artist acknowledges that this Agreement is not subject to any collective bargaining agreement since Company is not a party to any collective bargaining agreement that might be applicable to Services provided herein.14.3  Surviving Terms:  The following provisions shall survive any termination or expiration of this Agreement: Section 2 (&quot;Rights&quot;), Section 4 (&quot;No Obligation To Use&quot;), Section 5 (&quot;Representations and Warranties&quot;), Section 6 (Indemnification&quot;), Section 7 (&quot;Services Unique&quot;), Section 10 (&quot;Artist's Release&quot;), Section 11 (&quot;Promotional Materials&quot;), Section 12 (&quot;Confidentiality&quot;), Section 13 (&quot;Independent Contractor&quot;),  Section 14 (&quot;Miscellaneous&quot;)14.4         Waiver:  No waiver of the nonperformance or breach of any term, condition or obligation to be performed or binding upon Artist under this Agreement will be deemed to be either a continuing waiver or a waiver of any subsequent breach or default, nor will Company's exercise of any option (if applicable) hereunder be deemed a waiver by Company of any nonperformance or breach preceding the exercise of such option.  No failure or delay by Company in exercising any right or privilege under this Agreement shall operate as a waiver thereof.14.5  Assignment:  Artist shall not assign, sell, mortgage, or pledge any right under this Agreement, in whole or in part, without obtaining Company's prior written consent; any purported assignment shall be null and void.14.6 Severability:  Should any provisions of this Agreement be held by a court of law to be illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provisions of this Agreement shall not be affected or impaired thereby.       14.7    Further Documents:  Artist shall execute any and all documents and do all things reasonably necessary to give effect to this Agreement.  In the event that Artist does not, for any reason, execute such documents within a reasonable time of Company's request, Artist hereby irrevocably appoints Company as Artist's attorney-in-fact for the purpose of executing such documents on Artist's behalf, which appointment is coupled with an interest.       14.8       Notices.  Any notice provided pursuant to this Agreement shall be in writing and shall be deemed given (i) if by hand delivery, upon receipt thereof; (ii) if mailed, three (3) days after deposit in the U.S. mail, postage prepaid, certified mail return receipt requested; (iii) if by next day delivery service, upon such delivery; or (iv) if by email with read receipt included, one (1) hour after read receipt is acknowledged. Emails shall be sent to acooksey@sitv.com with a courtesy copy to vanderson@sitv.com.    14.9    Complete Understanding.  This Exhibit, including the Deal Memo attached hereto, constitutes the final, complete and exclusive agreement between the Parties with respect to the subject matter hereof, and supersedes any prior oral or written proposals, understandings and all other oral and written agreements between the Parties relating to the subject matter hereof.
